Terms of Use (EULA)

These Terms of Use ("Terms") are a legal agreement between you and Shimon Deitel, the developer of Ticker ("the app," "we," "us"). By downloading, installing, or using Ticker, you agree to these Terms. If you do not agree, do not use the app.
License
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use Ticker on Apple devices you own or control, for your personal, non-commercial use, in accordance with the Usage Rules set out in the Apple Media Services Terms and Conditions.
Acceptable use
You agree not to:
- Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the app, except to the extent applicable law expressly permits this despite the restriction.
- Copy, modify, distribute, sell, lease, or sublicense the app or any part of it.
- Use the app for any unlawful purpose or in violation of any applicable local, state, national, or international law.
- Interfere with or disrupt the app or attempt to gain unauthorized access to any systems related to it.
- Remove, obscure, or alter any proprietary notices in the app.
Your content
Ticker stores the meeting presets and history you enter ("your content") locally on your device. You are solely responsible for your content and for keeping backups if you value it — deleting the app deletes your locally stored content. We do not host, review, or have access to your content.
Ticker Pro purchase
Ticker offers an optional one-time, non-consumable in-app purchase, "Ticker Pro," currently priced at $2.99, which unlocks unlimited saved meeting presets. The following terms apply and are required by Apple:
- Billing. Payment is charged to your Apple ID account at confirmation of purchase.
- One-time purchase. Ticker Pro is a single, permanent unlock — it does not renew or expire.
- Restoring. If you reinstall the app or use a new device signed into the same Apple ID, use "Restore Purchases" in Settings to restore Ticker Pro at no additional charge.
- Refunds. All purchases are billed and processed by Apple, not by us. Refund requests are handled by Apple in accordance with Apple's own refund policies and the standard Apple Media Services Terms and Conditions — not by the developer directly. To request a refund, visit reportaproblem.apple.com or use the "Report a Problem" link in your Apple ID purchase history.
Intellectual property
The app, including its design, graphics, and underlying code, is owned by Shimon Deitel and is protected by copyright and other intellectual property laws. Except for the limited license above, no rights are transferred to you.
Disclaimer of warranties
Ticker is provided "as is" and "as available," without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the app will be uninterrupted or error-free, or that any calculated cost figure will match your organization's actual accounting. Ticker is an estimation tool, not a substitute for real payroll or financial data.
Limitation of liability
To the maximum extent permitted by applicable law, in no event shall Shimon Deitel be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising out of or related to your use of, or inability to use, the app, even if advised of the possibility of such damages. Our total liability for any claim arising from these Terms or the app shall not exceed the amount you paid us, if any, in the twelve (12) months preceding the claim.
Termination
These Terms remain in effect until terminated. We may terminate or suspend your license to use the app at any time if you fail to comply with these Terms. You may terminate by deleting the app from your device.
Governing law
These Terms are governed by the laws of the State of New York, United States, without regard to its conflict-of-laws principles, except to the extent superseded by the Apple Media Services Terms and Conditions or applicable consumer protection law in your jurisdiction.
Apple as a third-party beneficiary
You acknowledge that these Terms are between you and Shimon Deitel only, not with Apple, and Apple is not responsible for the app or its content. Apple has no obligation to furnish maintenance or support for the app. In the event of any failure of the app to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price, if any, for the app; to the maximum extent permitted by law, Apple has no other warranty obligation with respect to the app. Apple is a third-party beneficiary of these Terms and may enforce them against you.
Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date above. Continued use of the app after changes take effect constitutes your acceptance of the revised Terms.
